SYARAT DAN KETENTUAN UMUM PENJUALAN

I.    Kontrak
(1)    Syarat dan Ketentuan Umum Penjualan (“SKUP”) dari PT. Felder Group Indonesia (“Penjual”) berlaku untuk semua hubungan bisnis saat ini dan masa akan datang dari Penjual. 

(2)    Syarat dan ketentuan umum penjualan yang menyimpang, berlawanan atau menambahkan dari pembeli yang berdomisili di Indonesia (“Pembeli”) – bahkan jika diberitakukan– tidak menjadi bagian dari kontrak dalam bentuk apa pun termasuk tetapi tidak terbatas pada pesanan pembelian Pembeli yang diterima oleh Penjual secara tertulis (“Kontrak”) kecuali disepakati oleh Penjual dan Pembeli secara tertulis.

(3)    Oleh Pembeli yang melakukan pemesanan pembelian barang (mesin, peralatan, suku cadang, bahan habis pakai) yang mungkin diproduksi oleh perusahaan Felder Group, produsen yang dilisensikan oleh Felder Group Company atau produsen pihak ketiga (“Barang”) dengan Penjual, Pembeli membuat pernyataan yang mengikat bahwa ia hendak membeli Barang yang dipesan. Penjual menerima pesanan pembelian dalam waktu 2 (dua) minggu dengan konfirmasi pesanan tertulis kepada Pembeli atau dengan pelaksanaan pesanan pembelian, di mana tanggal pengiriman konfirmasi tertulis Penjual melalui pos tercatat atau kurir mematuhi hal batas waktu yang disebutkan di atas.

Jika Barang dipesan dengan cara elektronik, Penjual harus segera mengkonfirmasi penerimaan pesanan. Konfirmasi penerimaan pesanan tidak mewakili penerimaan pesanan yang mengikat. Konfirmasi penerimaan pesanan dapat digabungkan dengan penerimaan pesanan.

(4)    Perubahan pada pesanan pembelian yang diminta oleh Pembeli termasuk hal-hal yang mempengaruhi identitas, ruang lingkup, pengiriman Barang, penetapan harga dan penjadwalan Barang dan ketentuan Kontrak lainnya dan/atau ketentuan GTCS harus diajukan secara tertulis kepada Penjual dan tunduk pada persetujuan Penjual atas kebijakannya sendiri. Dalam hal apa pun Penjual memiliki hak diskresi tunggal untuk menolak setiap permintaan perubahan atas Barang yang dianggapnya tidak aman, secara teknis tidak bijaksana atau tidak sesuai dengan rekayasa, pedoman, dan/atau kualitas yang tidak bisa dipungkiri lagi serta standar nasional yang berlaku yang ditetapkan dan/atau tidak sesuai dengan kemampuan rancangan atau pembuatan dari Penjual. Penjual kemudian memiliki hak untuk mengganti Barang pesanan dengan menggunakan revisi yang diminta, menggunakan seri barang terbaru menggantikan Barang yang sudah dipesan atau menggunakan barang yang setara, yang memiliki bentuk, ukuran, dan fungsi yang sebanding.

II.    Harga
(1)    Semua harga dari Penjual untuk penjualan Barang  Penjual didasarkan atas tempat Penjual, kecuali jika disepakati sebaliknya secara tertulis.

(2)    Kecuali disepakati sebaliknya secara tertulis, harga yang sesuai dengan Kontrak dengan Penjual dianggap sebagai harga kotor tetap yang tidak termasuk pajak dan retribusi. Mengenai pajak dan retribusi lihat Bagian VI dari SKUP.

(3)    Harga sebagaimana dimaksud dalam Bagian II (1) SKUP harus termasuk pengemasan Barang yang memadai untuk dikirim ke Pembeli, tetapi bukan pengangkutan Barang ke tempat Pembeli, asuransi pengangkutan untuk semua risiko, pembongkaran Barang dan kemudian menempatkan atau memasangnya di tempat Pembeli, kecuali jika disepakati sebaliknya secara tertulis.

(4)    Harga dapat disesuaikan oleh Penjual karena perubahan keadaan saat ini termasuk tetapi tidak terbatas pada nilai penukaran sehubungan dengan Barang. Penyesuaian harga tersebut dapat dilakukan dalam 14 (empatbelas) hari kerja setelah menerima uang muka dari Pembeli dengan memberikan pemberitahuan tertulis dari Penjual kepada Pembeli. Jika setelah pemberitahuan oleh Penjual ini Pembeli tidak mengajukan keberatan tertulis terhadap penyesuaian harga dalam 7 (tujuh) hari kerja, Pembeli wajib membayar harga yang disesuaikan. Jika Pembeli mengajukan keberatan dengan penyesuaian harga tersebut, Penjual dapat mengakhiri Kontrak dengan pemberlakuan langsung dan menarik Barang dari Pembeli. Dalam hal ini uang muka dibayarkan kepada Pembeli setelah penarikan Barang.

(5)    Harga dan informasi terkait dengan Barang yang dimuat dalam katalog, brosur, dan/atau media lain hanya untuk tujuan informasi umum, dapat dirubah tanpa pemberitahuan dan tidak mengikat penawaran dan/atau konfirmasi atas harga dan/atau informasi yang dinyatakan.

III.    Pembayaran
(1)    Kecuali jika disepakati sebaliknya secara tertulis, harga beli penuh dari Barang termasuk pengeluaran tambahan serta imbalan dan tuntutan moneter lain dari Penjual harus dibayar dalam waktu 10 (sepuluh) hari kerja sejak tanggal tagihan.

(2)    Tanda terima pembayaran oleh Penjual menentukan ketepatan waktu pembayaran.

(3)    Pada azasnya semua pembayaran sesuai dengan Kontrak termasuk tetapi tidak terbatas pada SKUP (“Kontrak/SKUP”) harus dilakukan melalui transfer bank atau bentuk transfer uang cepat lainnya ke rekening bank Penjual yang ditunjuk.
Pembayaran tunai yang merupakan jumlah penuh yang harus dibayarkan hanya dapat dilakukan dengan persetujuan tertulis dari Penjual dan hanya kepada personel yang ditunjuk dari Penjual. Personel tersebut hanya berwenang untuk menerima jumlah penuh yang harus dibayarkan dan harus mengirimkan pembayaran tunai dalam waktu 1 (satu) hari kerja kepada Penjual atau membayarnya ke rekening bank yang ditunjuk Penjual.

Pesanan untuk pembayaran dan cek memerlukan persetujuan tertulis sebelumnya dari Penjual. Instrumen pembayaran semacam itu dianggap hanya diberikan sambil menunggu pelunasan utang yang bersangkutan.

(4)    Penjual mengeluarkan tanda terima tertulis untuk semua pembayaran oleh Pembeli.
Jika Pembeli terlambat melakukan pembayaran, Penjual awalnya dapat mengirim kepada Pembeli hingga 3 (tiga) Surat Pengingat untuk semua pembayaran yang belum dibayar:
-    Melalui surat tercatat atau kurir, Surat Pengingat Pertama dapat dikirimkan kepada Pembeli oleh Penjual paling cepat 14 (empatbelas) hari kerja setelah tanggal jatuh tempo pembayaran dan pembayaran segera kepada Penjual harus dilakukan dalam 7 (tujuh) hari kerja setelah diterimanya Surat Pengingat Pertama.

-    Melalui surat tercatat atau kurir, Surat Pengingat Kedua dapat dikirimkan kepada Pembeli oleh Penjual, jika Penjual belum menerima pembayaran dalam waktu 7 (tujuh) hari kerja seperti yang diminta dalam Surat Pengingat Pertama. Berdasarkan Surat Pengingat Kedua ini biaya denda keterlambatan sebesar 2% (dua persen) per bulan atas jumlah tagihan yang belum dibayar dan/atau jumlah lainnya yang jatuh tempo sejak tanggal jatuh tempo pembayaran.

-    Melalui surat tercatat atau kurir, Surat Pengingat Ketiga dapat dikirimkan kepada Pembeli oleh Penjual paling cepat, jika Penjual belum menerima pembayaran dalam waktu 7 (tujuh) hari kerja seperti yang dituntut dalam Surat Pengingat Kedua. Berdasarkan Surat Pengingat Ketiga ini biaya denda keterlambatan sebesar 12% (duabelas persen) per tahun atau prorata untuk jangka waktu kurang dari 1 (satu) tahun atas jumlah tagihan yang belum dibayar dan/atau jumlah lainnya yang jatuh tempo sejak tanggal jatuh tempo pembayaran.

-    Dalam hal Pembeli terus terlambat membayar tagihan yang terutang dan/atau jumlah lainnya dan sia-sia setelah diingatkan hingga 3 (tiga) Surat Pengingat, maka Penjual dapat mengakhiri Kontrak dan dapat menuntut ganti rugi dari Pembeli dan dapat mengajukan tuntutan lain terhadap Pembeli berdasarkan Kontrak/SKUP dan/atau oleh hukum.

-    Semua Surat Pengingat dikenakan biaya pemberitahuan sebesar Rp. 400.000, - (empat ratus ribu Rupiah) per Surat Pengingat.
-    Dalam hal Pembeli gagal melakukan pembayaran uang muka tepat waktu, dalam waktu 15 (lima belas) hari kerja setelah tanggal jatuh tempo untuk pembayaran uang muka Penjual berhak untuk mengakhiri Kontrak dan dapat menuntut ganti rugi dari Pembeli berdasarkan Kontrak/SKUP dan/atau oleh hukum.

(5)    Pembeli hanya dapat mengimbangi tuntutan Penjual, jika Pembeli memiliki tuntutan balik yang tidak terbantahkan atau hak yang tidak dapat dibanding; hal yang sama berlaku untuk perlindungan atas hak-hak kepemilikan dari Pembeli. Selain itu, perlindungan atas hak-hak kepemilikan tersebut harus didasarkan pada tuntutan sesuai dengan Kontrak.

(6)    Dalam hal ada tagihan dan/atau tuntutan tidak dibayarkan dalam batas waktu atau proses perdamaian atau kepailitan terkait dengan properti Pembeli diterapkan, maka Penjual berhak untuk segera membuat semua tagihan dan / atau tuntutan yang terbuka menjadi jatuh tempo dan harus dibayarkan. 

(7)    Dalam hal Pembeli berutang pembayaran beberapa tagihan dan/atau tuntutan, Penjual dapat menentukan bahwa utang terlama harus dilunasi terlebih dahulu.

(8)    Penjual juga memiliki hak untuk menarik Barang dari Pembeli kapan saja tanpa diminta untuk memberikan pemberitahuan tertulis kepada Pembeli, jika Pembeli belum sebagian atau sepenuhnya memenuhi kewajiban pembayarannya dalam bentuk apapun berdasarkan Kontrak/SKUP dan/atau oleh hukum.
Pembeli dengan ini memberikan akses langsung ke tempat Pembeli untuk menarik Barang. Jika Penjual mengakses tempat Pembeli, ini tidak dianggap sebagai tindakan masuk tanpa izin atau tindakan tidak sah lainnya yang tunduk pada hukum perdata dan/atau pidana.
Penjual berkewajiban mengembalikan Barang kepada Pembeli hanya setelah pembayaran penuh dari semua kewajiban oleh Pembeli dalam waktu 30 (tiga puluh) hari, meskipun Penjual telah memperoleh hak berdasarkan Kontrak/SKUP dan/atau oleh hukum.

(9)    Jika dalam jangka waktu maksimum 30 (tiga puluh) hari sejak tanggal penarikan Barang oleh Penjual, tetapi Pembeli belum membayar semua tunggakan pembayaran termasuk tetapi tidak terbatas pada pembayaran atas Barang, imbalan dan denda, Penjual memiliki hak untuk mengakhiri Perjanjian, dan oleh karena itu semua pembayaran yang sudah diterima oleh Penjual menjadi hak Penjual dan Penjual memiliki hak untuk mengalihkan atau menjual Barang kepada pihak lain. Dalam hal ini Penjual tidak berkewajiban untuk membayar kembali pembayaran yang telah dilakukan oleh Pembeli.
Jika Pembeli menolak Barang ditarik oleh Penjual pada saat penarikan Barang dituntut oleh Penjual, tindakan Pembeli merupakan tindakan yang melanggar hukum, apakah bersifat pidana dan/atau bersifat perdata. Dalam hal ini Penjual berhak untuk melaporkan Pembeli kepada pihak berwenang termasuk tetapi tidak terbatas pada pengadilan yang kompeten dan/atau menuntut ganti rugi hingga sejumlah Rp1.000.000.000, - (satu milyar Rupiah), tidak termasuk kewajiban untuk melakukan sisa pembayaran atas harga Barang, segala imbalan, denda dan kewajiban pembayaran lainnya.

IV.    Pengiriman
(1)    Semua pengiriman Barang didasarkan atas tempat Penjual dan menjadi beban dan tanggungan  Pembeli, kecuali disepakati sebaliknya secara tertulis.

(2)    Pengiriman dilakukan ke tempat yang ditentukan oleh Pembeli pada saat menandatangani Kontrak atau setelah itu atas permintaan tertulis Pembeli yang diterima oleh Penjual secara tertulis. Dalam hal perubahan tempat pengiriman oleh Pembeli, biaya yang dikeluarkan untuk perubahan tersebut menjadi beban dan tanggungan  Pembeli, kecuali disepakati sebaliknya secara tertulis.


(3)    Jika menurut Kontrak atau setelah penandatanganan Kontrak atas permintaan Pembeli yang diterima oleh Penjual, Barang diangkut ke Pembeli, ditempatkan atau dipasang di tempat Pembeli, maka risiko kerugian yang tidak disengaja atau keburukan yang tidak disengaja dari Barang beralih kepada Pembeli pada saat Barang meninggalkan tempat Penjual, terlepas dari apakah pengiriman terjadi di tempat pelaksanaan dan siapa yang membayar biaya pengangkutan. Mengenai penempatan atau pemasangan Barang di tempat Pembeli, syarat dan ketentuan umum Penjual untuk layanan berlaku. Jika sejumlah mesin dan peralatan dijual sebagai “Paket Barang” kepada Pembeli berdasarkan satu Kontrak, Penjual menempatkan atau memasang Barang di tempat Pembeli, dan hanya satu barang dari Paket Barang yang rusak, maka Pembeli tidak dapat mengakhiri Kontrak/SKUP untuk seluruh Paket Barang.

(4)    Jika pengangkutan Barang dan asuransi pengangkutannya disepakati sesuai dengan Kontrak atau setelah penandatanganan Kontrak atas permintaan Pembeli yang diterima oleh Penjual, maka risiko kerugian yang tidak disengaja atau keburukan yang tidak disengaja atas Barang yang dijual dalam penjualan ke tujuan sesuai dengan Kontrak atau atas permintaan Pembeli yang diterima oleh Penjual hanya dialihkan setelah pengiriman Barang kepada Pembeli.

(5)    Jika Pembeli tidak menerima pengiriman dalam batas waktu dan setelah memberikan tenggang waktu yang wajar, ia juga menolak pengiriman secara tegas atau diam-diam, Penjual dapat mengakhiri Kontrak dan menuntut ganti rugi. Hal yang sama berlaku untuk tidak adanya pembayaran akhir dari Barang dalam batas waktu.

(6)    Penjual tidak diharuskan untuk mengambil kembali bahan pengemasan Barang yang dikirim.

(7)    Tunduk pada Bagian IV dari SKUP, pengiriman harus dilakukan, jika Pembeli membayar 100% (seratus persen) dari total harga Barang melalui bank atau transfer serupa atau tunai ke Penjual menurut Bagian III (3) dari SKUP.

Hal yang sama berlaku untuk uang muka 30% (tiga puluh persen) atau persentase lain yang disepakati dari total harga Barang.

V.    Jadwal pengiriman, keadaan kahar, pemogokan, larangan kerja, pasokan
(1)    Jadwal waktu pengiriman yang dinyatakan dianggap sebagai perkiraan karena, antara lain, jarak, kondisi jalan, cuaca, alasan keamanan, hambatan administratif dan faktor-faktor lain yang mempengaruhi pengiriman.

(2)    Jadwal waktu pengiriman yang dinyatakan hanya dapat dipenuhi dengan pengiriman yang lengkap dan tepat waktu dari pemasok Penjual. Gangguan selama bisnis Penjual atau pemasoknya, di mana Penjual tidak bertanggung jawab, khususnya pemogokan, larangan kerja serta kasus keadaan kahar, yang disebabkan oleh kejadian yang tidak terduga atau tidak dapat dihindari, memperpanjang batas waktu pengiriman secara wajar dan proporsional.

(3)    Ketentuan pasca-kontrak yang disepakati, terutama yang menyangkut perincian teknis, yang dapat mempengaruhi batas waktu pengiriman memperpanjang batas waktu pengiriman secara wajar dan proporsional.

(4)    Dalam hal terjadi keterlambatan pengiriman karena keadaan, di mana Penjual tidak bertanggung jawab, Pembeli hanya berhak untuk mengakhiri Kontrak, jika ia menuntut pengiriman secara tertulis dan pengiriman ini tidak terjadi dalam tenggang waktu lebih lanjut yang wajar dan proporsional, dimulai dengan hari diterimanya pemberitahuan tertulis tentang wanprestasi. Lebih lanjut melampaui tuntutan atas ganti rugi terhadap Pembeli secara tegas dikecualikan.
(5)    Dalam hal pengiriman Barang tertunda dan/atau gagal karena ketidaksiapan dan/atau keengganan Pembeli untuk menerima Barang termasuk tetapi tidak terbatas pada gudang dan/atau pabrik Pembeli tidak siap untuk pengiriman Barang karena alasan apa pun, Barang dapat disimpan sementara di gudang Penjual untuk periode awal 30 (tiga puluh) hari tanpa biaya. Setelah itu Pembeli dikenakan imbalan penyimpanan yang memadai per hari berdasarkan ruang yang diperlukan untuk jangka waktu yang wajar dan proporsional.

(6)    Penjual dapat dikenakan atas kerugian langsung dari Pembeli karena keterlambatan pengiriman yang timbul dari niat keliru atau kelalaian berat oleh Penjual. Tuntutan atas kerugian tidak langsung secara tegas dikecualikan.

(7)    Jika pengiriman Barang atau pelaksanaan menjadi tidak mungkin atau terlalu sulit bagi Penjual sesuai dengan Bagian IV (2) SKUP, maka Penjual harus menginformasikan kepada Pembeli tentang hal tersebut setelah memperhatikannya; dalam melakukan hal tersebut Penjual dibebaskan dari kewajiban pengirimannya.

VI.    Pajak dan Retribusi yang Berlaku
(1)    Harga Barang, imbalan dan tuntutan moneter lainnya dari Penjual terhadap Pembeli sehubungan dengan Barang tidak termasuk pajak yang berlaku atau retribusi lain yang dikenakan oleh otoritas pemerintah terkait. Pajak dan retribusi lain tersebut ditanggung oleh Pembeli.

(2)    Pembayaran pajak atau retribusi lain yang harus dibayarkan kepada Penjual atau dibayarkan langsung ke pihak yang berwenang harus dilakukan dengan tepat waktu sehingga Penjual tidak terlambat membayar pajak terkait dan retribusi lainnya dan/atau melapor pajak atau retribusi tersebut kepada otoritas terkait.

(3)    Harga Barang dan segala imbalan yang harus dibayar oleh Pembeli kepada Penjual tunduk pada peraturan pajak yang berlaku tentang pajak pertambahan nilai (“PPN”) dan/atau, jika berlaku, peraturan pajak yang setara atas penjualan. PPN dan/atau, jika berlaku, pajak penjualan yang setara harus dibayarkan kepada Penjual oleh Pembeli.
Jika Pembeli dibebaskan dari PPN, dalam hal ini Pembeli harus memberikan bukti yang sah dari pembebasan PPN tersebut kepada Pembeli. Apakah Pembeli pemungut pajak (misalnya perusahaan milik negara) yang membayar PPN yang dibebankan oleh Penjual secara langsung ke Kas Negara, maka Pembeli harus memberitahukan Penjual tentang prosedur pemungutan pajak. Jika lembaga pendidikan swasta atau pemerintah membeli Barang untuk tujuan pelatihan, Pembeli tersebut diharuskan memberitahukan Penjual tentang pembebasan PPN yang berlaku dan memberikan bukti yang sah tentang ini kepada Penjual.
Dalam hal berakhirnya Kontrak termasuk tetapi tidak terbatas pada SKUP diakhir atau Kontrak/SKUP berakhir, Pembeli tidak memiliki hak untuk menuntut kembali PPN yang sudah dibayarkan kepada Penjual untuk setiap pembayaran yang dikenakan PPN.

(4)    Imbalan dan tuntutan moneter lainnya dapat dikenakan pajak pemotongan (“WHT”) dan Pembeli harus membayar WHT tersebut ke Kas Negara sesuai dengan peraturan pajak yang berlaku di atas jumlah penuh tagihan komersial yang harus dibayarkan kepada Penjual. PPN tidak tunduk pada WHT.

VII.    Jaminan
(1)    Jaminan pada azasnya hanya diberikan untuk mesin dan peralatan yang membentuk bagian dari Barang sebagaimana didefinisikan di atas dalam Bagian I (3) SKUP. 

(2)    Tidak ada jaminan yang secara tegas diberikan untuk Barang dalam peristiwa berikut, kecuali disepakati sebaliknya secara tertulis:

-    Jika pada saat pengiriman Barang kepada Pembeli, tidak terjadi cacat Barang dan/atau tidak ada di Barang;

-    Jika Pembeli menempatkan dan/atau memasang Barang;

-    Jika Pembeli memasang dan/atau menggunakan suku cadang dan/atau bahan habis pakai untuk Barang, maka produk tersebut dan Barang terkait tersebut dengan adanya cacat pada Barang yang disebabkan oleh produk ini secara tegas dikecualikan dari jaminan;

-    Jika buku petunjuk dan sejenisnya untuk Barang, tidak diamati secara ketat untuk penggunaan, perakitan dan pemasangan (misalnya dasar mesin, penyediaan tegangan dan/atau udara terkompresi dll.) dan dengan demikian menyebabkan cacat pada Barang;

-    Jika pemeliharaan Barang dan petunjuk perbaikan (buku petunjuk pengoperasian, buku pegangan pemeliharaan, dll.) tidak dipatuhi secara ketat dan dengan demikian menyebabkan cacat pada Barang;

-    Jika cacat Barang disebabkan oleh penggunaan yang tidak tepat atau penggunaan kekuatan eksternal lainnya (goresan, penyok, tekukan dll);

-    Jika ada tanda-tanda visual keausan dan penggunaan biasa pada Barang (kerusakan karena pekerjaan cat, goresan, dll.);

-    Jika cacat Barang disebabkan oleh segala jenis kotoran, kontaminasi, polusi, dll.,

-    Jika bagian dari Barang terkena keausan biasa (bantalan, sabuk, spindel berulir, mur spindel, segmen bergigi, roda gigi, chip breakers dll.) atau terdiri dari plastik (pegangan, tuas penjepit, crunches, label plung, penutup, wiper dll.);

-    Jika cacat Barang disebabkan oleh pergonta-gantian  atau manipulasi lain apapun terhadap Barang yang dilakukan oleh Pembeli;

-    Jika cacat Barang disebabkan oleh tindakan alam atau sebab lain di luar kendali seseorang termasuk tetapi tidak terbatas pada proses alami seperti korosi;

-    Jika cacat Barang disebabkan oleh faktor-faktor eksternal (2 operasi telepon, sekering yang tidak patut, tegangan berlebih/kurang, petir dll.); dan

-    Jika bagian dari Barang didasarkan pada spesifikasi Indonesia (motor, papan kontrol, sakelar listrik, dll.)

(2)    Jika Penjual menempatkan dan/atau memasang mesin dan peralatan tersebut sebagai bagian dari Barang, jaminan dibatasi hingga 1 (satu) tahun setelah pengiriman Barang kepada Pembeli.

(3)    Kondisi yang disepakati dari pokok hal-hal Kontrak yang diberikan oleh Penjual harus secara tegas didasarkan pada ketentuan-ketentuan Kontrak/SKUP dan bukan pada daftar harga, iklan, prospektus dan sejenisnya. Pembeli tidak mendapatkan jaminan dan garansi apapun dari daftar harga tersebut, dll.

(4)    Penjual pada azasnya berhak untuk memilih metode jaminan untuk memperbaiki segala cacat pada Barang dengan pekerjaan perbaikan, penggantian atau pengurangan harga jual. Tuntutan atas kerusakan langsung dan tidak langsung secara tegas dikecualikan.

(5)    Jika Pembeli adalah pengguna akhir profesional, ia memiliki hak untuk memilih apakah koreksi cacat adalah melalui perbaikan atau penggantian. Penjual berhak untuk menolak cara koreksi, jika itu melibatkan biaya yang tidak proporsional dan alternatif cara koreksi tidak mengakibatkan kerugian yang signifikan bagi pengguna akhir profesional. Tuntutan atas kerusakan langsung dan/atau tidak langsung secara tegas dikecualikan.

(6)    Jika Pembeli tidak segera memeriksa Barang pada saat pengiriman untuk kerusakan dan segera (atau 10 hari setelah memeriksa) memberitahukan Penjual tentang kerusakan tersebut secara tertulis dan rinci. Jika pemeriksaan seperti itu pada saat pengiriman tidak terjadi atau terjadi, tetapi tidak diberitahukan secara tertulis kepada Penjual sehubungan dengan cacat yang terlihat dari Barang yang terkait, maka semua tuntutan Pembeli hangus berdasarkan ketentuan jaminan Bagian VII SKUP dan ketentuan lain dalam Kontrak/SKUP ini dan hukum.

(7)    Jika Pembeli tidak memberikan Penjual jadwal waktu yang wajar untuk memperbaiki cacat, dalam hal ini tuntutan atas jaminan hangus. Jika koreksi cacat tidak selesai dalam jangka waktu yang wajar ini, Pembeli dapat mengakhiri Kontrak atau menuntut pengurangan harga untuk Barang. Cacat kecil tidak memberikan hak kepada Pembeli untuk mengakhiri Kontrak.

(8)    Cacat yang juga tidak jelas terlihat selama pemeriksaan mendalam, harus segera diajukan oleh Pembeli dengan cara yang sama seperti Bagian VII (7) SKUP, setelah ditemukan dalam 1 (satu) tahun setelah pengiriman Barang ke Pembeli.

(9)    Hak pembeli atas tuntutan atas jaminan hilang 1 (satu) tahun setelah pengiriman Barang kepada Pembeli dengan tunduk pada ketentuan-ketentuan Kontrak/SKUP.

VIII.    Imbalan untuk Pemakaian Barang untuk Penjual
Jika Pembeli mengembalikan Barang karena pengakhiran atau wanprestasi Kontrak olehnya, maka Penjual memiliki hak untuk meminta imbalan untuk penggunaan Barang (“Imbalan Pemakaian”) serta biaya untuk pengakhiran Kontrak. Kondisi visual dan teknis Barang yang dikembalikan harus diperhatikan dalam perhitungan Imbalan Pemakaian. Imbalan Pemakaian minimum adalah 30% (tiga puluh persen) dari harga pembelian bersih Barang serta Imbalan Pemakaian lebih lanjut sebesar 4% (empat persen) dari total harga pembelian untuk seluruh atau sebagian dari satu bulan kalender setelah pengiriman .

IX.    Pertanggung Jawaban
Penjual hanya dapat dikenakan kepada Pembeli, jika secara tegas dinyatakan dalam Kontrak/SKUP. Semua pertanggung jawaban demi hukum juga secara tegas dikecualikan sejauh diizinkan oleh hukum.
Pertanggung jawaban wakil hukum Penjual, orang-orang yang dipekerjakan oleh Penjual dalam melaksanakan kewajiban dan karyawan yang berhadapan dengan Pembeli secara tegas dikecualikan kecuali dalam hal niat jahat atau kelalaian besar.

X.    Perlindungan Hak-Hak Kepemilikan 
(1)    Barang tetap menjadi kepemilikan Penjual sampai pembayaran lengkap dari semua kewajiban dilakukan sesuai dengan Kontrak/SKUP.

(2)    Dalam hal penjualan kembali Barang oleh Pembeli kepada pihak ketiga sebelum Penjual telah dibayar penuh oleh Pembeli, Pembeli mengalihkan semua tuntutannya kepada pihak ketiga dalam jumlah total yang menjadi kewajiban pihak ketiga kepada Pembeli. Pembeli harus secara tertulis memberikan konfirmasi pengalihan kepada Penjual dan pengalihan ini oleh Pembeli ke Penjual harus diserahkan kepada pihak ketiga (debitur Pembeli).

(3)    Dalam hal intervensi oleh pihak ketiga, khususnya gadaian Barang berdasarkan Kontrak ini, Pembeli harus segera menginformasikan kepada Penjual tentang hal itu secara tertulis serta memberitahukan pihak ketiga mengenai perlindungan hak-hak kepemilikan oleh Penjual. Pembeli menanggung semua biaya yang diperlukan untuk membalikkan intervensi dan pengembalian Barang.

(4)    Selama adanya perlindungan hak-hak kepemilikan, Pembeli hanya dapat dengan persetujuan tertulis sebelumnya dari Penjual mengalihkan, menggadaikan, melakukan jaminan fidusia atas kepemilikan Barang, menyewakan atau dengan cara lain melepaskan Barang yang mengganggu jaminan Penjual.

(5)    Selama jangka waktu perlindungan hak-hak kepemilikan, Pembeli berhak untuk memiliki dan menggunakan Barang secara tepat.

(6)    Dalam hal Pembeli mengabaikan Bagian X (1) sampai (4) SKUP, Penjual berhak untuk mengakhiri Kontrak.

XI.    Pengakhiran
(1)    Terlepas dari alasan hukum dan kontrak lainnya, Penjual berhak untuk mengakhiri Kontrak, jika Pembeli telah membuat pernyataan palsu mengenai kelayakan kreditnya, menghentikan pembayaran atau cicilan, adalah tunduk pada proses perdamaian atau kepailitan yang diterapkan terkait dengan properti Pembeli atau kondisi ekonomi Pembeli telah memburuk sedemikian rupa sehingga Penjual tidak lagi dapat berharap untuk memenuhi Kontrak.

(2)    Penjual berhak untuk mengakhiri Kontrak, jika kondisi muncul setelah penandatanganan Kontrak yang membuat pengiriman tidak mungkin atau tidak masuk akal secara ekonomi.

(3)    Pembeli berhak untuk mengakhiri Kontrak dalam waktu 3 (tiga) hari kerja setelah diterimanya pesanan pembelian oleh Penjual. Pengakhiran harus diajukan secara tertulis, baik melalui faks atau secara elektronik. Dalam hal terjadi pengakhiran setelah 3 (tiga) hari kerja, Penjual berhak atas denda pengakhiran 30% (tiga puluh persen) dari harga pembelian tidak termasuk PPN. Dalam hal pengakhiran Kontrak setelah pengiriman Barang ke tempat Penjual, semua pembayaran yang sudah diterima oleh Penjual pada saat pengakhiran adalah milik Penjual, sedangkan semua Barang yang termasuk dalam Kontrak harus dikembalikan kepada Penjual.

(4)    Dalam hal pengakhiran atau penghentian yang lain dari Kontrak/SKUP, Pembeli tidak dapat menuntut kembali pembayaran yang dilakukan berdasarkan pengaturan kontrak ini, kecuali disepakati sebaliknya secara tertulis.

(5)    Penjual dan Pembeli dengan ini mengesampingkan Pasal 1266 Kitab Undang-Undang Hukum Perdata sejauh persetujuan yudisial diperlukan untuk pengakhiran Kontrak/SKUP.

XII.    Hukum yang berlaku, pengadilan yurisdiksi dan tempat pelaksanaan 
(1)    Kontrak/SKUP tunduk dan ditafsirkan sesuai dengan hukum Indonesia. Dalam hal terjadi perselisihan hukum yang timbul dari Kontrak/SKUP, pengadilan yurisdiksi  menjadi pengadilan yang bertanggung jawab untuk Penjual di Semarang. 

(2)    Tempat Penjual menjadi tempat pelaksanaan untuk semua pelaksanaan oleh Penjual dan Pembeli, kecuali jika disepakati sebaliknya secara tertulis.

XIII.    Hal-Hal Lain
(1)    Penjual berhak untuk merubah, menambah dan menghapus semua atau sebagaian dari SKUP sewaktu-waktu.

Dalam hal ini Penjual menginformasikan Pembeli secara tertulis secepat-cepatnya. 

(2)    Persyaratan bentuk tertulis hanya dapat diabaikan secara tertulis.

(3)    Ketidaksahan, ketidakabsahan atau ketidakberdayaan ketentuan-ketentuan tersendiri dalam Kontrak/SKUP tidak mempengaruhi penerapan ketentuan-ketentuan lain dalam Kontrak/ SKUP.

(4)    Jika ketentuan-ketentuan tersendiri  dari Kontrak/SKUP tidak sah, tidak absah atau tidak dapat dilaksanakan, mereka harus ditafsirkan sedemikian rupa untuk mewakili isi yang diperbolehkan dari ketentuan-ketentuan tersendiri.

(5)    Dalam hal terdapat perbedaan antara teks bahasa Inggris dan bahasa Indonesia dalam Kontrak/SKUP, teks bahasa Inggris dari ketentuan-ketentuan terkait berlaku atas teks bahasa Indonesia dari ketentuan-ketentuan sejauh diizinkan oleh hukum.

 



GENERAL TERMS AND CONDITIONS OF SALES
I.    Contract

(1)    The General Terms and Conditions of Sales (“GTCS”) of PT. Felder Group Indonesia (“Seller”) apply to all present and future business relationships of the Seller. 

(2)    Deviating, opposing or additional terms and conditions from the buyer based in Indonesia (“Buyer”) shall– even if informed - not be a part of the contract in whatever form including but not limited to purchase orders of the Buyer accepted by the Seller in writing (“Contract”) unless agreed by the Seller and Buyer in writing. 

(3)    By the Buyer placing a purchase order for the goods (machines, equipment, spare parts, consumables) which may be manufactured by Felder Group companies, manufacturers licensed by a Felder Group Company or third party manufacturers (“Goods”) with the Seller, the Buyer makes a binding statement that he wants to purchase the ordered Goods. The Seller shall accept the purchase order within 2 (two)) weeks by a written order confirmation to the Buyer or by the execution of the purchase order, whereby the dispatching date of the Seller’s written confirmation by registered post or courier shall comply with the above mentioned time limit 

If the Goods are ordered by electronic means, the Seller shall immediately confirm the receipt of the order. The confirmation of the receipt of the order does not represent a binding acceptance of the order. The confirmation of the receipt of the order may be combined with the acceptance of the order. 

(4)    Changes to purchase orders requested by the Buyer including matters that affect the identity, scope, delivery of the Goods, pricing and scheduling of the Goods and other Contract provisions and/or provisions of the GTCS must be submitted in writing to the Seller and are subject to the approval of the Seller at his sole discretion.  In any case the Seller has the sole discretionary right to reject any requested changes to the Goods that he deems unsafe, technically unwise or not in accordance with established engineering, guidelines and/or quality and any applicable national standards and/or are not in accordance with the capabilities of design or the manufacturing of the Seller. The Seller then has the right to replace the ordered Goods by using the requested revisions, using the latest series of goods replacing the ordered Goods or using equivalent goods, which have comparable shapes, sizes and functions. 

II.    Prices
(1)    All Seller’s prices for the sales of Goods are ex Seller’s premises, unless otherwise agreed upon in writing.

(2)    Unless otherwise agreed upon in writing, the prices pursuant to the Contract with the Seller shall be considered as fixed brutto prices excluding taxes and levies. Regarding taxes and levies see Section VI of the GTCS.

(3)    The prices as referred to in Section II (1) of the GTCS shall contain adequate packaging of the Goods for the delivery to the Buyer, but not the transport of the Goods to the Buyer’s premises, transport insurance for all risks, the Goods’ unloading and then placing or installing them at the Buyer’s premises, unless otherwise agreed upon in writing.

(4)    Prices may be adjusted by the Seller due to changes of current circumstances including but not limited to changes of exchange rates in relation to the Goods. Such price adjustments may be made within 14 (fourteen) working days after receipt of the down payment from the Buyer by giving a written notification from the Seller to the Buyer. If upon this notification by the Seller the Buyer does not submit a written objection to the price adjustment within 7 (seven) working days, the Buyer shall be obliged to pay the adjusted price. If the Buyer objects to the price adjustment, the Seller may terminate the Contract with immediate effect and retrieve the Goods from the Buyer. In this case the down payment shall be repaid to the Buyer after retrieval of the Goods.

(5)    Prices and information related to the Goods contained in catalogues, brochures and/or other media are only for general information purposes, are subject to change without notice and are not binding offers and/or confirmations for the stated prices and/or information. 

III.    Payments
(1)    Unless otherwise agreed upon in writing, the full purchase price of the Goods including any additional expenses as well as fees and other monetary claims of the Seller must be paid within 10 (ten) working days as from the invoice date.

(2)    The receipt of payment by the Seller determines the timeliness of the payment.

(3)    In principle all payments pursuant to the Contract including but not limited to the GTCS (“Contract/GTCS”) shall be made by bank transfer or other fast form of money transfer to the designated Seller’s bank account.

Cash payments constituting the full payable amount may only be made by written approval of the Seller and only to designated personnel of the Seller. Such personnel is only authorized to accept the full payable amount and must deliver the cash payment within 1 (one) working day to the Seller or pay it into the Seller’s designated bank account. 

Orders for payment and cheques require the prior written approval of the Seller.  Such payment instruments are deemed to be only given pending the full discharge of the debt concerned

(4)    The Seller shall issue written receipts for all payments by the Buyer.

If the Buyer is late in making payments, the Seller may initially send the Buyer up to 3 (three) Reminder Letters for all outstanding payments:

-    By registered letter or courier, the First Reminder Letter may be sent to the Buyer by the Seller at the earliest 14 (fourteen) working days after the due date of payment and prompt payment to the Seller shall be made within 7 (seven) working days after the receipt of the First Reminder Letter.

-    By registered letter or courier, the Second Reminder Letter may be sent to the Buyer to the Seller, if the Seller has not received the payment within 7 (seven) working days as demanded in the First Reminder Letter. Based on this Second Reminder Letter a late penalty fee of 2% (two percent) per month on the unpaid invoice amounts and/or any other amounts due as from their due date of payment.

-    By registered letter or courier, the Third Reminder Letter may be sent to the Buyer by Seller at the earliest, if the Seller has not received the payment within 7 (seven) working days as demanded in the Second Reminder Letter. Based on this Third Reminder Letter a late penalty fee of 12% (twelve percent) per year or prorated for a period of less than 1 (one) year on the unpaid invoice amounts and/or any other amounts due as from the due date of payment.

-    In the event the Buyer continues to be late in paying the outstanding invoices and/or other amounts and after having been reminded by up to 3 (three) Reminder Letters in vain, then the Seller may terminate the Contract and may claim damages from the Buyer and may bring forward other claims against the Buyer under the Contract/GTCS and/or by law.

-    All Reminder Letters are subject to a notice fee of Rp. 400.000,- (four hundred thousand Rupiah) per Reminder Letter.

-    In the event the Buyer fails to make the down payment in time, within 15 (fifteen) working days after the due date for the down payment the Seller has the right to terminate the Contract and may claim damages from the Buyer under the Contract/GTCS and/or by law.

(5)    The Buyer may only offset claims of the Seller, if the Buyer has an undisputed counter claim or an unappealable title; the same applies to the Buyer's reservation of proprietary rights. In addition such reservation of proprietary rights must be based on claims pursuant to the Contract.

(6)    In the event any invoices and/or claims are not paid within the time limit or composition or insolvency proceedings concerning the property of the Buyer are applied for, then the Seller is entitled to make all open invoices and/or claims immediately due and payable.

(7)    In the event the Buyer owes the payment of several invoices and/or claims, the Seller may determine that the oldest debt must be repaid first.

(8)    The Seller has also the right to retrieve the Goods from the Buyer at any time without being required to give written notice thereof to the Buyer, if the Buyer has not partially or fully fulfilled his payment obligations of any kind under the Contract/GTCS and/or by law.

The Buyer grants herewith immediate access to the Buyer’s premises to retrieve the Goods. If the Seller accesses the Buyer’s premises, this shall not be considered as an act of trespassing or any other illegal act subject to civil and/or criminal law.
The Seller is obliged to return the Goods to the Buyer only after the full payment of all obligations by the Buyer within 30 (thirty) days, notwithstanding the Seller has already acquired rights under the Contract/GTCS and/or by law.

(9)    If within a maximum period of 30 (thirty) days from the date of retrieval of the Goods by the Seller, but the Buyer has not paid all arrears in payment including but not limited to payments for the Goods, fees and penalties, the Seller has the right to terminate the Agreement, and therefore all payments received by the Seller become the right of the Seller and the Seller has the right to transfer or sell the Goods to other parties. In this event the Seller has no obligation to repay any payment made by the Buyer.

If the Buyer refuses to have the Goods retrieved by the Seller at the time when the retrieval of the Goods is demanded by the Seller, the Buyer’s action constitutes an unlawful act, whether it is criminal and/or civil in nature. In this event the Seller reserves the right to report the Buyer to the authorities including but not limited to the competent courts and/or demand damages of up to amount of IDR 1,000,000,000 (one billion Rupiah) not including the obligations to make the remaining payments for the price of the Goods, any fees, penalties and other payment obligations.

IV.    Delivery
(1)    All deliveries of the Goods are ex Seller’s premises at the risk of and for the account of the Buyer, unless otherwise agreed upon in writing.

(2)    Deliveries shall be made to the place specified by the Buyer upon entering into the Contract or thereafter upon a Buyer’s written request accepted by the Seller in writing. In the event of changing the place of delivery by the Buyer, the costs incurred for such change are for the account and at the risk of the Buyer, unless otherwise agreed upon in writing.

(3)    If according to the Contract or after its signing upon the accepted Buyer’s request by the Seller the Goods are transported to the Buyer, placed or installed at the Buyer’s premises, then the risk of the accidental loss or accidental deterioration of the Goods passes to the Buyer at the time the Goods leave the Seller’s premises, irrespective of whether the delivery takes place at the place of the performance and who pays the transportation costs. Regarding the placement or installment of Goods at the Buyer’s premises the Seller’s general terms and conditions for services shall apply. If a number of machines and equipment as a “Package of Goods” are sold to the Buyer under one Contract, the Seller places or installs the Goods at the Buyer’s premises, and only a single good of the Package of Goods is defective, then the Buyer may not terminate the Contract/ GTCS for the whole Package of Goods.

(4)    If the transport of the Goods and its transport insurance are agreed in accordance with the Contract or after its signing upon the accepted Buyer’s request by the Seller, then the risk of accidental loss or accidental deterioration of the sold Goods under a sale to the destination according to the Contract or upon the accepted Buyer’s request by the Seller passes only upon the delivery of the Goods to the Buyer.

(5)    If the Buyer does not take delivery within the time limit and after having given an reasonable period of grace he also rejects the delivery explicitly or tacitly, the Seller may terminate the Contract and claim damages. The same accordingly applies to the final non-payment of the Goods within the time limit.
(6)    The Seller is not required to take back the packaging material of the delivered Goods.

(7)    Subject to Section IV of the GTCS, deliveries shall be made, if the Buyer pays 100% (one hundred percent) of the total price of the Goods by bank or similar transfer or in cash to the Seller. 
The same applies to the down payment of 30% (thirty percent) or other agreed percentage of the total price for the Goods.

V.    Delivery schedule, force majeure, strike, lockout, supplies
(1)    Stated delivery periods are considered as approximations due to, among others, distance, road conditions, weather, security reasons, administrative obstacles and other factors influencing the delivery.

(2)    Stated delivery periods can only be complied with by complete and timely deliveries from the Seller’s suppliers. Interruptions in the course of the Seller’s or his supplier’s business, for which the Seller is not responsible, in particular strikes, lockouts as well as cases of force majeure, which are due to unforeseen or unavoidable instances, extend the time limit of delivery reasonably and proportionately.


(3)    Agreed post-contractual provisions, particularly those concerning technical details, which may influence the time limit of delivery extend the time limit of delivery reasonably and proportionately.

(4)    In the event of delivery delays due to circumstances, for which the Seller is not responsible the Buyer is only entitled to terminate the Contract, if he demands delivery in writing and this delivery does not take place within a further reasonable and proportionate period of grace, commencing with the day of receipt of the written notice of default. Further exceeding claims for damages against the Buyer are expressly excluded.

(5)    In the event that the delivery of the Goods is delayed and/or fails due to the unpreparedness and/or unwillingness of the Buyer to receive the Goods including but not limited to the Buyer’s warehouse and/or factory not being ready for the delivery of the Goods for whatsoever reason, the Goods may be temporarily stored in the Seller’s warehouse for an initial period of 30 (thirty) days free of charge. Thereafter the Buyer shall be charged an adequate storage fee per day based on the required space for a reasonable and proportionate period of time.

(6)    The Seller is liable for direct losses of the Buyer due to delivery delays only arising from wrongful intent or gross negligence by the Seller. Claims for indirect losses are expressly excluded.

(7)    If the delivery of the Goods or performance is made impossible or excessively difficult for the Seller pursuant to Section IV (2) of the GTCS, then the Seller must inform the Buyer about it after having taken notice thereof; in doing so the Seller shall be exempted from his obligation of delivery.

VI.    Applicable Taxes and levies
(1)    Prices for the Goods, fees and other monetary claims of the Seller against the Buyer in relation to the Goods exclude any applicable taxes or other levies imposed by the government authorities concerned. Such taxes and other levies shall be borne by the Buyer.

(2)    Payment of taxes or other levies payable to the Seller or directly payable to the authorities concerned must be made in such timely manner so that the Seller shall not be late in paying his corresponding taxes and other levies and/or his reporting thereon to the authorities concerned.

(3)    Prices for the Goods and any fees payable by the Buyer to the Seller are subject to the prevailing tax regulations on value added tax (“VAT”) and/or, if applicable, equivalent tax regulations on sales. VAT and/or, if applicable, equivalent sales taxes shall be paid to the Seller by the Buyer. 

If the Buyer is exempted from VAT, in this case the Buyer must give valid proof of such VAT exemption to the Buyer. Is the Buyer a VAT collector (for example a state-owned enterprise) who pays the VAT charged by the Seller directly to the State Treasury, then the Buyer shall notify the Seller of the VAT collection procedure. If private or state school institutions buy the Goods for training purposes, such Buyers are required to notify the Seller of any applicable VAT exemption and provide valid proof thereof to the Seller. 
In the event of termination of the Contract including but not limited to the GTCS or otherwise the Contract/GTCS ends, the Buyer has no right to claim back any VAT paid to the Seller for any payments subject to VAT.

(4)    Fees and other monetary claims may be subject to withholding tax (“WHT”) and the Buyer shall pay such WHT to the State Treasury in accordance with the prevailing tax regulations on top of the full commercial invoice amount payable to the Seller. VAT is not subject to WHT.

VII.    Warranty
(1)    Warranties are in principle only given for machines and equipment forming part of the Goods as defined above in Section I (3) of the GTCS.

(2)    No warranties shall expressly be given for Goods in the following instances, unless otherwise agreed upon in writing:

-    If at the time of the Good’s delivery, no defect of the Goods occurred and/or was not present; 


-    If the Buyer places and/or installs the Goods;

-    If the Buyer installs and/or uses spare parts and/or consumables for the Goods, then such products and the Goods concerned upon the occurrence of defects to the Goods caused by these products are expressly excluded from warranties;


-    If instruction manuals and the like for the Goods, are not rigorously observed for use, assembly and installation (e.g machine base, provision of voltage and/or compressed air etc.) and thus causing defects to the Goods;

-    If maintenance of the Goods and repair instructions (operating manuals, maintenance handbook etc.) are not rigorously observed and thus causing defects to the Goods;


-    If the defect of the Goods is caused by improper use or other external applications of force (scratches, dents, bending etc.);

-    If there are visual signs of wear and tear and regular use on the Goods (damage due to paint jobs, scratches etc.);

-    If defects of the Goods are caused by any kind of dirt, contamination, pollution etc.,

-    If parts of the Goods are subject to regular wear and tear (bearings, belts, threaded spindels, spindle nuts, toothed segments, gears, chip breakers etc.) or consist of plastic (grips, clamping levers, crunches, labels plungs, covers, wipers etc.);

-    If defects of the Goods are caused by alternations or any other manipulation to the Goods undertaken by the Buyer;


-    If defects of the Goods were caused by acts of nature or other causes beyond someone’s control including but not limited to natural processes such as the corrosion;

-    If defects of the Goods are caused by external factors (2 phone operation, improper fusing, over/under voltage, lightning etc.); and


-    If parts of the Goods are based on Indonesian specifications (motor, control board, electrical switches etc.)

(3)    If the Seller places and/or installs such machines and equipment as part of the Goods, warranties shall be limited to 1 (one) year after the delivery of the Goods to the Buyer.

(4)    The agreed condition of the subject matter of the Contract owed by the Seller shall be expressly based on the provisions of the Contract/GTCS and not on any other price lists, advertisements, prospectuses and the like. The Buyer does not derive any warranties and guarantees from such price lists etc.


(5)    The Seller is in principle entitled to choose the warranty method for correcting any defects in the Goods by either repair work, replacement or reduction in the selling price. Claims for direct and indirect damages are expressly excluded.

(6)    If the Buyer is a professional end user, he has the right to choose whether the correction of the defect is by means of repair or replacement. The Seller is however entitled to decline the means of correction, if it involves disproportionate costs and alternative means of correction do not result in significant disadvantages for the professional end user. Claims for direct and/or indirect damages are expressly excluded.

(7)    If the Buyer does not immediately check the Goods upon delivery for damage and immediately (or 10 days after checking) notify the Seller of any such damage in writing and in detail. If such checking at the time of delivery did not occur or occurred, but was not notified in writing to the Seller with regard to a perceivable defect of the Goods concerned, then the Buyer forfeits any claims under warranty provisions of Section VII of the GTCS and other provisions under this Contract/ GTCS and law.

(8)    If the Buyer does not give the Seller a reasonable period of time to correct the defect; in this case any warranty claims shall be forfeited. Should the correction of the defect not be completed within this reasonable period of time, the Buyer may terminate the Contract or claim for a reduction of the price for the Goods. Minor defects do not give the Buyer the right to terminate the Contract.

(9)    Defects which are also not clearly perceptible during an in-depth check, must immediately be raised by the Buyer in the same way as per Section VII (7) of the GTCS, once they have been discovered within 1 (one) year after the delivery of the Goods to the Buyer.

(10)    Buyer’s right to warranty claims lapses 1 (one) year after the delivery of the Goods to the Buyer subject to the provisions of the Contract/GTCS.

VIII.    Fee for the usage of the Goods for the Seller
If the Buyer returns the Goods due to his termination or non-performance of the Contract, then the Seller has the right to demand a fee for the usage of the Goods (“Usage Fee”) as well as the costs for the termination of the Contract. The visual and technical condition of the returned Goods shall be taken into account for the calculation of the Usage Fee. The minimum Usage Fee shall be 30% (thirty percent) of the net purchase price of the Goods as well as a further Usage Fee of 4% (four percent) of the total purchase price for any full or part of a calendar month after delivery. 

IX.    Liability
The Seller shall be only liable to the Buyer, if expressly stated in the Contract/GTCS. All liabilities by law are also expressly excluded to the extent permitted by law.

The liability of the Seller’s legal representatives, persons employed in performing obligations and employees vis-à-vis the Buyer are expressly exempted except in the event of malicious intent or gross negligence.

X.    Reservation of proprietary rights
(1)    The Goods remain the property of the Seller until the complete payment of all obligations is made according to the Contract/GTCS.

(2)    In the event of a resale of the Goods by the Buyer to a third party before the Seller has been fully paid by the Buyer, the Buyer shall assign all his claims against the third party in the total amount the third party owes the Buyer. The Buyer must in writing confirm the assignment to the Seller and this assignment by the Buyer to the Seller must be served upon the third party (the Buyer’s debtor).

(3)    In the event of intervention by third parties, in particular the pledge of the Goods under this Contract, the Buyer must inform the Seller immediately about it in writing as well as make the third party aware of the Seller’s reservation of proprietary rights. The Buyer bears all costs which are required to reverse the intervention and return of the Goods.

(4)    As long as the reservation of proprietary rights exists, the Buyer may only with the prior written approval of the Seller dispose, pledge, enter into a fiduciary transfer of ownership of the Goods, rent or in any other manner relinquish the Goods which impair the security of the Seller.

(5)    During the term of the reservation of proprietary rights the Buyer is entitled to possess and use the Goods appropriately.

(6)    In the event the Buyer disregards Section X (1) to (4) of the GTCS, the Seller is entitled to terminate the Contract.

XI.    Termination
(1)    Regardless of other legal and contractual reasons the Seller is entitled to terminate the Contract, if the Buyer has made false claims regarding his credit worthiness, stays payments or installments, is subject to applied composition or insolvency proceedings regarding the Buyer’s property or the Buyer’s economic conditions has worsened to such an extent that the Seller can no longer be expected to fulfill the Contract.

(2)    The Seller is entitled to terminate the Contract, if conditions arise after the signing of the Contract which make the delivery impossible or economically unreasonable.

(3)    The Buyer is entitled to terminate the Contract within 3 (three) working days after the acceptance of the PO by the Seller. The termination must be submitted in writing, either by fax or electronically. In the event of such a termination after 3 (three) working days the Seller is entitled to a termination fine of 30% of the purchase price excluding VAT. In case of termination of the Contract after delivery of Goods to the Seller’s premises, all received payments by the Seller at the time of the termination belong to the Seller, while all goods included in the Contract must be returned to the Seller.

(4)    In the event of termination or otherwise the Contract/GTCS, the Buyer may not claim back any payments made under this contractual set-up, unless otherwise agreed upon in writing.

(5)    The Seller and Buyer herewith waive Article 1266 of the Indonesian Civil Code to the extent judicial approval is required for the termination of the Contract/GTCS.

XII.    Applicable law, court of jurisdiction and place of performance 
(1)    The Contract/GTCS shall be subject to and interpreted in accordance with Indonesian law. In the event of legal disputes arising from the Contract/GTCS, the court of jurisdiction shall be the one which is responsible for the Seller in Semarang. 

(2)    The Seller’s premises shall be the place of performance for all performances by the Seller and Buyer, unless otherwise agreed in writing.

XIII.    Other matters
(1)    The Seller has the right to change, add and delete all or part of GTSC at any time in writing.

In such an event the Seller shall inform the Buyer as soon as possible in writing. 

(2)    The requirement of the written form may likewise only be waived in writing.

(3)    The illegality, invalidity or unenforceability of individual provisions of the Contract/GTCS do not influence the applicability of the other provisions of the Contract/GTCS. 

(4)    If individual provisions of the Contract/GTCS are illegal, invalid or unenforceable, they shall be interpreted in such a way to represent the allowable contents of the individual provisions.

(5)    In the event there are differences between the English and Indonesian text in the Contract/GTCS, the English text of the provisions concerned shall prevail over the Indonesian text of the provisions to the extent permitted by law
